houseedits — Terms of Service
Effective: September 10, 2026 · Version 1.0
HouseEdits is a division of Lister Pros LLC.
These Terms of Service (the "Terms") are a contract between you and Lister Pros LLC ("houseedits," "we," "us"). They govern your use of houseedits.com and our photo-editing services (the "Service").
By choosing the sign-up action next to the notice linking these Terms, you agree to these Terms. If you do not agree, do not create an account or use the Service.
1. Who may use the Service
You must be 18 or older and able to form a binding contract. If you are using the Service for a business, you represent that you are authorised to bind that business, and "you" means both you and that business.
2. Accounts
Keep your credentials secure and tell us promptly at hello@houseedits.com if you believe your account has been compromised. You are responsible for activity under your account.
3. The Service
You upload photographs ("Input Images"). We process them and return edited versions ("Edited Images"). Input Images and Edited Images together are your "Content."
We may change, improve, or discontinue features. If we make a change that materially reduces the Service you are paying for, we will give you notice and, if you are on a subscription, a pro-rated refund of the unused portion.
4. Your content stays yours
4.1 Input Images. You retain all right, title, and interest in your Input Images. We claim no ownership of them.
4.2 Edited Images — you own them. You own the Edited Images we deliver to you, and to the extent any copyright in an Edited Image would otherwise vest in us, we assign it to you on delivery. You may use, sell, license, sublicense, distribute, publish, and commercially exploit the Edited Images you pay for, including delivering them to agents, brokerages, MLSs, and clients, subject to applicable law and these Terms. If you request credit back for an Edited Image, you agree not to use or distribute that credited-back edit unless the credit-back is undone or the image is paid for again. That is a contractual use condition; we do not take ownership of your Input Images.
4.3 The licence you grant us. So that we can actually run the Service, you grant us a non-exclusive, worldwide, royalty-free licence to host, store, transmit, reproduce, and modify your Content, solely to operate the Service for you — processing your images, delivering them, supporting you, backing them up, and protecting the security and integrity of the Service. This licence ends when you delete the Content or close your account, except for backups that expire on our ordinary retention cycle and copies we must keep by law.
4.4 Model training requires separate permission. We do not treat your use of the Service, a beta price, or a feedback flag as permission to train a general photo-editing model on your Content. We will request separate, clearly described permission before doing so. Our Privacy Policy explains this and how to contact us about any permission you give. Contact us by email about training permission.
4.5 Your promises about your Content. You represent that you own or have the necessary rights to your Input Images, and that our processing of them will not infringe anyone's rights. If you assign copyright to a client, obtain any permission needed for processing and any separately requested training use.
5. Acceptable use
Our Acceptable Use Policy is part of these Terms. In short: don't upload content you have no right to, don't upload illegal or explicit material, don't attack or overload the Service, and don't use the Service to break the law.
*What we do not prohibit.* For clarity, and unlike some services in this market:
- You may evaluate, benchmark, and publish comparisons of our Service against any other, including ours against a competitor's, provided your statements are accurate.
- You may use the Edited Images you paid for however you like, including as reference material for your own work.
- We do not prohibit you from building or working for a competing product.
6. Fees, balances, and payment
6.1 Prices. Prices are shown in US dollars on our pricing page and in the Service. Stripe processes card payments; we do not store full card numbers. Payment methods available for your transaction are shown at checkout.
6.2 Prepaid balance. Adding funds buys a balance for use with the Service. The app may also describe usage in credits. It is not a bank account, does not earn interest, and cannot be transferred or used to pay another person. Refund rights are described in the Fulfillment & Refund Policy.
6.3 When usage is charged. We may reserve an estimated amount when you submit a shoot. The usage charge for finished photos is applied when the order is delivered, not when you first download it. Failed processing is not charged as a completed delivery; any related hold is released or adjusted. A quality credit-back returns the applicable usage charge to your balance.
6.4 Edit pricing. Usage is counted in edits: one edit is one finished photo. Pay-as-you-go edits cost $0.30 each, with a $10 minimum purchase. The price per edit for your account is shown before you buy and may be lower under a monthly plan or an Enterprise agreement. Edits you buy never expire. Each shoot is charged one edit per finished photo when it is delivered, and a later price change does not alter a shoot already submitted. New accounts receive 30 free edits, once per photographer.
6.5 Optional auto-reload. Auto-reload is off unless you explicitly authorize it and save a card through Stripe. You choose the reload amount, the remaining-edits threshold and the maximum automatic charges per calendar month in America/Phoenix. Remaining edits exclude edits held for submitted shoots. A reload adds edits at the price per edit for your account when the reload is charged. A low balance may trigger a charge after setup; checks normally run every five minutes. Pending automatic charges count toward the cap, and refunds do not restore that month's automatic allowance. Manual purchases are separate from the cap. Turn auto-reload off in Balance & history at any time; a charge already started may finish. Your purchased credits never expire. This is not a subscription and does not preserve a temporary processing rate. A failed payment pauses auto-reload until you reconnect a card.
6.6 Plans and price changes. Monthly volume plans shown as proposals are not active subscriptions. If we offer a subscription, its price, included usage, renewal, cancellation and unused-balance treatment will be shown before you subscribe. We will give at least 30 days' notice of material increases to an existing paid plan. A future plan does not change charges for work already delivered.
6.7 Refunds and fair use. The Fulfillment & Refund Policy explains per-photo credit-back, whole-shoot refunds, unused-balance requests and pauses for unusual refund patterns.
6.8 Taxes. Any taxes we are required to collect will be shown at checkout. You are responsible for taxes applicable to your own business and use of the Service.
7. Delivery and retention
Delivery is digital through your account, normally with an email when a shoot is ready. Turnaround times are estimates, not guarantees. Beta processing and individual results may vary.
The ordinary customer download window is 10 days after delivery, unless the Service states a different window for your order. Download and keep your own copies promptly. Files may become unavailable after that window, after a whole-shoot refund, or following account closure. This is not a long-term archive. The Privacy Policy distinguishes download availability from operational copies, backups and records that may be retained longer.
7A. Your review before you publish
Our model can make mistakes. Please review your photos for accuracy before using them.
7A.1 What we do and do not do. We apply automated image processing to the photographs you upload. We do not independently verify your photographs or visit the property, and we have no first-hand knowledge of the property's condition, and we make no representation, warranty or certification — express or implied — that any Edited Image accurately depicts any property, its condition, its dimensions, its surroundings, its views, or any feature of it. An Edited Image is a rendering produced at your direction. It is not a statement of fact about a property, and nothing we deliver may be represented to any third party as our verification of a property.
7A.2 Your obligation. Before you deliver, publish, transmit, or submit any Edited Image to any client, brokerage, multiple listing service, listing portal, or member of the public, you must review that Edited Image against the original photograph and against your own knowledge of the property, and satisfy yourself that it does not create a materially false or misleading impression — including that it does not conceal a defect, invent or alter a view, alter the apparent size or geometry of a space, or add, remove or modify any fixture, feature, structure, or surrounding element in a way a buyer would consider material.
7A.3 You are the one who knows. You acknowledge that you, and not us, are in a position to perform that review, because you were at the property and we were not, and that we are relying on you to perform it. You agree that you do not rely on us, or on any statement by us, to determine whether an Edited Image accurately depicts a property.
7A.4 Disclosure is yours to make or to pass on. You are solely responsible for determining what disclosure, label, or paired original image any law, regulation, MLS rule, brokerage policy, or code of ethics requires for an altered or digitally enhanced image in every jurisdiction where the image is used, and for either making that disclosure or communicating it to your client so that they can. Requirements vary by location and listing service and can change. We do not provide legal advice and we do not assume responsibility for your compliance with any of it.
7A.5 This is a promise, not a condition on your ownership. Section 7A is a material term of these Terms. Breaching it is a breach of contract and triggers Section 16.1. It does not affect your ownership of any Edited Image (Section 4.2), and nothing in it gives us any right in your Edited Images.
If an edit is wrong, use the photo's credit-back or feedback action. The Fulfillment & Refund Policy explains your options.
7B. Reviewing and downloading your photos
The review page lets you inspect your delivered photos, open larger images, and leave feedback. Original comparisons are available where the Service has a corresponding source image. You remain responsible for the review required by Section 7A whether or not you use a comparison control.
We may record delivery, download, feedback and credit-back events to operate the Service and resolve disputes. We do not represent that displaying a photo proves you reviewed it, that an automatic accuracy certification occurred, or that a mandatory review attestation exists in every interface. Usage charges and refund eligibility follow Section 6 and the Fulfillment & Refund Policy.
8. Availability
We work to keep the Service available but do not guarantee uninterrupted operation. We may perform maintenance, and may suspend the Service where necessary for security or legal reasons.
9. Feedback
If you send us suggestions, we may use them without obligation or compensation. This does not give us any rights in your Content.
10. Our intellectual property
The Service, our software, our models, and our branding are ours. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service — not to our software or models themselves.
11. Copyright complaints
We respect copyright and may remove or restrict disputed content and terminate repeat infringers where appropriate. Contact hello@houseedits.com with copyright concerns. Our Copyright Policy explains the information needed to investigate a complaint. We do not determine ownership disputes between you and your clients.
12. Confidentiality of your Content
We do not sell your Content. We do not share your Content with other customers. We disclose it only to service providers who help us operate the Service under confidentiality obligations, or where required by law — and where legally permitted, we will tell you first.
12A. Security and incident notice
We protect your Content with administrative, technical, and physical safeguards appropriate to a service of our size and the sensitivity of the data, and we review them periodically. No system is perfectly secure, and we do not warrant that ours cannot be breached.
If we confirm that an unauthorised party has acquired your Content or your account information, we will notify you without undue delay and in any event within 72 hours of confirming it, describe what we know, and tell you what we are doing about it. We may delay notice only for the period a law enforcement agency asks us in writing to delay it.
For the avoidance of doubt, a claim under this Section 12A is subject to the cap in Section 15.2.
13. Term and termination
You may stop using the Service and close your account at any time. We may suspend or terminate your account if you materially breach these Terms or the Acceptable Use Policy, if required by law, or if your use creates a security or legal risk. Except for breach or legal necessity, we will give you 30 days' notice and a reasonable opportunity to export Content still available under the download window before terminating. This notice does not extend an order's ordinary retention period. If we close your account without a material breach by you, we will return your unused purchased balance. Other unused-balance requests follow the Fulfillment & Refund Policy. We may preserve records or restrict transactions as required by law or a payment dispute; nothing here removes a refund right that applicable law gives you.
Sections 4.1, 4.2, 9, 10, 14, 15, 16, and 17 survive termination.
14. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that edits will meet your subjective expectations. Some jurisdictions do not allow these exclusions, in which case they apply to the extent permitted.
15. Limitation of liability — please read this section
15.1 NO INDIRECT DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF GOODWILL, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, ON ANY THEORY — CONTRACT, TORT (INCLUDING NEGLIGENCE AND NEGLIGENT MISREPRESENTATION), STRICT LIABILITY, WARRANTY, STATUTE, OR OTHERWISE — EVEN IF THAT PARTY WAS ADVISED OF THE POSSIBILITY. THIS ALLOCATION OF RISK IS REFLECTED IN OUR PRICING AND IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US. Section 15.1 does not limit amounts payable by us under Section 16.2.
15.2 CAP. EXCEPT AS STATED IN 15.3 AND 15.4, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE THOUSAND US DOLLARS ($1,000).
15.3 Where our cap does not apply. The cap in 15.2 does not apply to our intentional or unauthorised use of your Content in breach of Section 4 (your ownership of Content) or Section 12 (confidentiality). For the avoidance of doubt, a security incident under Section 12A is subject to the cap in 15.2.
15.4 What no limit ever covers. Nothing in these Terms limits or excludes liability for (a) our fraud or fraudulent misrepresentation; (b) our wilful misconduct or intentional injury to person or property; (c) death or personal injury caused by our negligence; (d) your obligation to pay fees you owe; or (e) anything that cannot be limited or excluded under applicable law.
15.5 Independence. Sections 15.1 and 15.2 apply even if a limited or exclusive remedy in these Terms is found to have failed of its essential purpose.
15.6 Economic loss. The parties intend that the remedies in these Terms are exclusive for economic loss arising out of or relating to the Service, and that no tort remedies for such loss are preserved, except as stated in 15.4.
15.7 Your indemnity is not capped by this Section, but is limited by Section 16.4 and Section 16.5.
15.8 Time limit. Any claim arising out of or relating to the Service or these Terms must be brought within one year after it accrues, or it is permanently barred, except where applicable law does not permit shortening that period.
16. Indemnification
16.1 Your indemnity. You will defend, indemnify, and hold harmless houseedits, its affiliates, and their officers, employees and contractors from and against any third-party claim, demand, suit, proceeding, regulatory action, or professional-discipline complaint, and all resulting losses, damages, liabilities, settlements, penalties, fines, and reasonable attorneys' fees and costs, arising out of or relating to:
(a) your Content, including any claim that an Input Image or our processing of it infringes or misappropriates any copyright, trademark, right of privacy, or right of publicity, or that you lacked the rights you represented in Section 4.5;
(b) your delivery, publication, licensing, transmission, or submission of any Edited Image to a client, brokerage, MLS, listing platform, or the public — including any claim that an Edited Image misrepresented a property, concealed a condition or defect, or was published without a disclosure, label, or paired original that any law, regulation, MLS rule, brokerage policy, or code of ethics required;
(c) your breach of Section 7A or Section 7B; or
(d) your breach of these Terms, the Acceptable Use Policy, or applicable law.
This indemnity applies even where the claim alleges that our own act, omission, or negligence caused or contributed in whole or in part to the loss, subject to Section 16.4.
16.2 Our indemnity. We will defend you against any third-party claim alleging that (a) the Service itself, as provided by us, infringes that party's copyright, trademark, or trade secret, or (b) an Edited Image we delivered reproduces protectable expression from another houseedits customer's Input Image, and we will pay damages finally awarded or a settlement we approve. This indemnity does not apply where: (i) you knew the Edited Image was infringing; (ii) you disabled or evaded a filtering or labelling feature we provide; (iii) the Edited Image was materially modified, retouched, or combined with anything not provided by us after delivery, and the claim would not have arisen but for that modification or combination; (iv) you did not have the rights you represented in Section 4.5; (v) the claim alleges trademark, trade dress, right-of-publicity, or false-advertising liability arising from your use of the Edited Image in trade or commerce; or (vi) the Service or feature was identified by us as beta, preview, or experimental.
If a claim under this Section arises, we may at our option procure the right for you to keep using the affected part of the Service, modify it so it is non-infringing, or refund the fees you paid for it and terminate it.
Our total liability under this Section 16.2, including defence costs, will not exceed the greater of (a) twenty-five thousand US dollars ($25,000) or (b) three times the amounts you paid us in the twelve months before the claim.
16.3 Conduct of the defence. Each party will give the other prompt written notice of a claim for which it seeks indemnity; failure to give prompt notice relieves the indemnifying party only to the extent it is actually prejudiced. The indemnifying party may control the defence with counsel reasonably acceptable to the other, provided it first acknowledges the indemnity obligation in writing without reservation and demonstrates the financial capacity or insurance to fund the defence, and provided no conflict of interest exists. The indemnified party may participate with its own counsel at its own expense. No settlement may impose any obligation on, admit fault by, or fail to obtain a full release for the indemnified party without its written consent, not to be unreasonably withheld.
We may assume sole control of our own defence at your expense for any claim that (a) seeks injunctive or other non-monetary relief, (b) is brought by a regulator or licensing authority, (c) alleges our own conduct, or (d) you fail to defend diligently. If you fail to defend a claim you are obliged to defend, we may defend it and recover our reasonable costs from you.
16.4 Limits on your indemnity. Section 16.1 does not require you to indemnify us to the extent a claim arises from our own fraud, wilful misconduct, or gross negligence, or from a statement we made in our own marketing.
16.5 Savings. Where applicable consumer-protection or other law limits the extent to which you may be required to indemnify us or to pay our legal costs, Section 16.1 applies only to the maximum extent that law allows.
16.6 Except for a claim of fraud or wilful misconduct, Sections 16.1(a) and 16.2 are each party's exclusive remedy against the other for a third party's intellectual property claim.
17. Disputes
17.1 Talk to us first. Before filing anything, contact hello@houseedits.com and give us 30 days to resolve it. Most things end here.
17.2 Arbitration. If we cannot resolve it, disputes will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules — or, where the AAA determines that its Consumer Arbitration Rules apply, under those rules — in Maricopa County, Arizona, or by videoconference at your election. We will pay the arbitration filing and arbitrator fees for any claim under $10,000.
17.3 Small claims carve-out. Either party may bring an individual claim in small-claims court instead.
17.4 No class actions. Disputes will be brought only in an individual capacity, not as a plaintiff or class member in any class or representative proceeding.
17.5 Opt out. You may opt out of 17.2 and 17.4 by emailing hello@houseedits.com within 30 days of first accepting these Terms. Opting out does not affect anything else in these Terms.
17.6 Court is available for these. Either party may bring a claim for injunctive or other equitable relief, or to protect its intellectual property, in the state or federal courts in Maricopa County, Arizona, notwithstanding Sections 17.1 and 17.2.
17.7 Governing law. Arizona law governs, without regard to conflict-of-laws rules. Where arbitration does not apply, the courts in Maricopa County, Arizona have exclusive jurisdiction.
18. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days' notice by email and in the Service, and the change applies from the effective date stated in that notice. A change that would expand our rights in your Content, including for model training, will not apply to Content already submitted, and will not take effect for you without your affirmative agreement. Every version of these Terms is archived and available on request.
19. General
These Terms plus the policies they reference are the entire agreement between us. If a provision is unenforceable, the rest stands. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of our business, and if we do, the commitments in Sections 4 and 18 bind our successor.
